1. Introduction
Welcome to Nourish (“Company”, “we”, “our”, “us”)!
These Terms of Service (“Terms”, “Terms of Service”) govern your use of our website located at www.nourishnewmama.com (together or individually “Service”) operated by Nourish.
Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard and disclose information that results from your use of our web pages.
Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge that you have read and understood Agreements, and agree to be bound of them.
If you do not agree with (or cannot comply with) Agreements, then you may not use the Service, but please let us know by emailing at nourishnewmama@gmail.com so we can try to find a solution. These Terms apply to all visitors, users and others who wish to access or use Service.
2. Communications
By using our Service, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing at nourishnewmama@gmail.com.
3. Purchases
If you wish to purchase any product or service made available through Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase including but not limited to, your credit or debit card number, the expiration date of your card, your billing address, your delivery information (such as but not limited to an accurate address, a phone number where we can reach you and specific delivery notes to make the delivery possible).
You represent and warrant that: (i) you have the legal right to use any card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.
We may employ the use of third party services for the purpose of facilitating payment and the completion of Purchases. By submitting your information, you grant us the right to provide the information to these third parties subject to our Privacy Policy.
We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons.
We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.
4. Contests, Sweepstakes and Promotions
Any contests, sweepstakes or other promotions (collectively, “Promotions”) made available through Service may be governed by rules that are separate from these Terms of Service. If you participate in any Promotions, please review the applicable rules as well as our Privacy Policy. If the rules for a Promotion conflict with these Terms of Service, Promotion rules will apply.
5. Cancel or Modify an Order
If you wish to cancel or modify an order, your order may or may not be modified or cancelled and related amounts paid may or may not be refunded to you, depending on factors including the status of your meals in our production process, and any promotions applied. You will be notified at the time of cancelation or modification if any of your paid orders will be cancelled and refunded, To confirm, email us at nourishnewmama@gmail.com .
6. Billing
When you first sign up for a subscription to the Nourish Six Week Postpartum Program (the “SWPP”), a 30% deposit PLUS a sixth of the remaining balance will processed to confirm your order. The 30% deposit is NOT refundable unless otherwise agreed by Nourish depending on the status of your order. The remainder of the balance is to be paid weekly, by Friday noon to confirm the following week’s order, for the FIVE remaining weeks.
You can also order “A la Carte”, on a weekly basis or as a one time purchase and your payment will be processed after placing your order to confirm your order.
Any cancellation or modification after any amount has been paid by you to Nourish will depend on the status of your order.
Nourish may change the price of the SWPP, introduce a new Program, or remove a Program, add a new Product or remove a Product from time to time, and will communicate any price or Program changes or Product change to you in advance in accordance with the “Notice” section of this Agreement. Price and Program changes will take effect as of the next billing period following the date on which Nourish provided notice to you of the price or Program change. By continuing to use the Nourish Service after the effective date of a price or Program change, you indicate your acceptance of such price or Program change. If you do not agree with a price or Program change, you have the right to reject the change by cancelling your subscription(s) or order prior to the effective date of the price or Program change. Please make sure that you read any notifications of price or Program changes carefully.
Applicable sales tax may be charged on your order based on local and state laws.
You are fully responsible for all activities that occur under your account, and you agree to be personally liable for all payments made under your account based on your delivery status as of the specified deadline. Your liability for such payments shall continue after termination of this Agreement.
WHEN YOU ORDER ANY NOURISH PRODUCT OR PROGRAM YOU EXPRESSLY AUTHORIZE AND AGREE THAT NOURISH AND/OR OUR THIRD PARTY PAYMENT PROCESSOR IS AUTHORIZED TO PROCESS YOUR PAYMENT TO CONFIRM YOUR ORDER, IN AN AMOUNT EQUAL TO THE THEN-EFFECTIVE RATE FOR YOUR PROGRAM OR PRODUCT, TOGETHER WITH ANY APPLICABLE TAXES AND DELIVERY FEE (the “PROGRAM OR PRODUCT RATE”), FOR AS LONG AS YOU CONTINUE TO USE THE NOURISH SERVICE. YOU ACKNOWLEDGE AND AGREE THAT NOURISH WILL NOT OBTAIN ANY ADDITIONAL AUTHORIZATION FROM YOU FOR SUCH PAYMENTS.
7. Nutrition Information
Please note that nutritional information on our website and Social Media Pages reflects recent updates to meals based on evolving ingredients. The nutritional information for meals at the time of their preparation is reflected on the labels on our meal containers. Nourish does not guarantee the accuracy of any nutritional information provided by Nourish. Nourish will not be responsible for any loss or damage resulting from your reliance on nutritional information, nor for ensuring that whatever foods you purchase or consume are in accordance with your respective dietary needs, restrictions or preferences. Please note that mentioning dietary preferences and allergies does not guarantee that your meals will exclude certain food product ingredients which may contain those products. As such, you should always check the ingredients associated with any products that you receive from Nourish to avoid potential allergic reactions. If you have or suspect that you have an allergic reaction or other adverse health event, promptly contact your health care provider.
Blog posts and other content on the Website or Social Media Pages may contain recipes, meal recommendations, dietary advice and the food products delivered in connection with the Nourish service will contain various ingredients. You should always consult with your physician or other healthcare professional before adopting any Dietary Advice or partaking in any Dietary Options, whether offered by and through the Nourish Products or otherwise. The Dietary Advice and/or Dietary Options may include ingredients that you are allergic to. You should always check the ingredients associated with any Dietary Advice and Dietary Options to avoid potential allergic reactions. If you have or suspect that you have an allergic reaction or other adverse health event, promptly contact your health care provider.
8. Food Substitution Policy
Nourish takes every reasonable measure to have sufficient inventory to fill your order but availability of product(s) may change without notice. We are not responsible for the unavailability of product due to popular demand, whether discontinued or still in production.
In the completion of orders, Nourish reserves the right to substitute a similar product. Substituted food items may contain different ingredients and allergens than those in items originally ordered. Prior to consumption, please be sure to carefully check all individual product packages for the most updated information regarding ingredients and nutritional content for any/all of Nourish’s food products, if you have any food allergies or if you are otherwise concerned about any particular ingredients.
Please Note: Nourish’s food items may contain or may have been prepared in a facility that also processes: dairy, eggs, fish, shellfish, soy, tree nuts, and other allergens.
9a. Shipping or Delivery
We use first-party and third-party carriers to deliver your food packages. It is very important that you provide us with the proper delivery information and any special instructions that the delivery driver may need.
Please note that the a Meal Package is delivered on Tuesdays and the time of delivery will be communicated upon confirmation of your order. If you have any questions about your area and delivery, please contact Customer Service at nourishnewmama@gmail.com.
Nourish does not deliver to every location, so please check with our customer service team at nourishnewmama@gmail.com to see if our Services are available in your area. If we currently do not deliver to your area, we cannot agree to provide you with services in accordance with our Terms, and Customers will be prohibited from paying if they have a delivery ZIP code outside of the areas where Nourish delivers. But, if you would like us to deliver to an area we do not currently cover, please let us know. We are expanding the reach of our Products and Services. We recommend that contact us at nourishnewmama@gmail.com, and we will use reasonable efforts to notify you when we launch in your ZIP code.
Nourish uses first-party and third-party delivery companies to deliver your Products. For customers that purchase perishable food products from us, each box is carefully packaged so its contents will stay adequately chilled during the delivery process. Note that someone 18 year of age or older MUST be present upon delivery to receive the Meal Package and refrigerate it upon reception. (modifications may be made to scheduled delivery dates during certain holidays). You should inspect your food packages to ensure the contents arrive in a cool, refrigerated condition. The best way to do this is to check the meat and fish with a food thermometer to ensure their internal temperatures are 41°F or below. If you receive a food Product containing meat or fish with an internal temperature above 41°F, you should contact our customer service at nourishnewmama@gmail.com and discard the item. PLEASE DO NOT RETURN ANY PERISHABLE FOOD PRODUCT UNLESS REQUESTED BY CUSTOMER SERVICE.
In the case of weather which inhibits the ability to make safe deliveries, or other events beyond our control that interfere with our ability to deliver your order, we will attempt to deliver your Order as soon as reasonably possible. In some cases, delivery may occur on a date other than a Tuesday. If the delivery of your Meal Package is not feasible, we will delay your delivery to the next reasonably possible period, as determined in our sole discretion or refund a part or the whole of the purchase price for that Meal Package.
9b. Pick up
Please note that you are responsible for reviewing the Meal Package upon pick up and inspecting all of the Products contained within for any defects or other problems upon delivery. Please note that pick up should be performed by someone 18 years of age or older. Upon the completion of your review of the Meal Package, we recommend that you place all perishables in a cooler with ice for the duration of your drive and refrigerate you Nourish meals as soon as you get to your destination to ensure the ingredients’ integrity. The risk of loss and/or damage passes to you ounce you accept your package, at the time of pick up. We highly recommend that you review the USDA’s instructions on safe food handling, which can be found here : https://www.fsis.usda.gov/food-safety/safe-food-handling-and-preparation/food-safety-basics/steps-keep-food-safe.
All items are solely at your risk from the time of pick up. As such, you acknowledge and agree that you are solely responsible for any preparatory steps, storage of the contents of any Meal Package, and the reheating of all the ingredients of the respective Meal Package.
Nourish recommends that all meal storage and reheating instructions found on each food container/package be followed. For more information, please see the USDA’s website, found here.
10. Force Majeure
We will not be liable or responsible for any failure to perform, or delay the performance of, any of our obligations that is caused by events outside our reasonable control (“Force Majeure Event”). A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes, but is not limited, to the following: (1) Strikes, lock-outs, or other industrial action; (2) Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war, or threat or preparation for war; (3) Fire, explosion, storm, flood, earthquake, subsidence, epidemic, or other natural disaster; (4) Impossibility of the use of railways, shipping, aircraft, motor transport, or other means of public or private transport; (5) Impossibility of the use of public or private telecommunications networks; and (6) The acts, decrees, legislation, regulations, or restrictions of any government.
Our performance under this Agreement is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable efforts to bring the Force Majeure Event to a close or to find a solution by which our obligations under this Agreement may be performed despite the Force Majeure Event.
11. Receipt of your meal package, food storage and reheating
Nourish uses specific materials to refrigerate perishable items and sometimes uses third party delivery companies to deliver Meal Packages to customers. Please note that you are responsible for reviewing the Meal Package upon delivery or pick up and inspecting all of the Products contained within for any defects or other problems upon delivery or pick up. Please not that someone 18 years of age or older MUST BE PRESENT for the delivery or pick up. Upon the completion of your review of the Meal Package, we recommend that you place all perishables in your refrigerator to ensure the ingredients’ integrity. The risk of loss and/or damage passes to you ounce you accept your package, at the time of delivery or pick up. 12. Content
Our Service, (website, social media pages) allows you to post, link, store, share and otherwise make available certain information, text, graphics, videos, or other material (“Content”). You are responsible for Content that you post on or through Service, including its legality, reliability, and appropriateness.
By posting Content on or through Service, You represent and warrant that: (i) Content is yours (you own it) and/or you have the right to use it and the right to grant us the rights and license as provided in these Terms, and (ii) that the posting of your Content on or through Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity. We reserve the right to terminate the account of anyone found to be infringing on a copyright.
You retain any and all of your rights to any Content you submit, post or display on or through Service and you are responsible for protecting those rights. We take no responsibility and assume no liability for Content you or any third party posts on or through Service. However, by posting Content using Service you grant us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through Service. You agree that this license includes the right for us to make your Content available to other users of Service, who may also use your Content subject to these Terms.
Nourish has the right but not the obligation to monitor and edit all Content provided by users.
In addition, Content found on or through this Service are the property of Nourish or used with permission. You may not distribute, modify, transmit, reuse, download, repost, copy, or use said Content, whether in whole or in part, for commercial purposes or for personal gain, without express advance written permission from us.
13. Prohibited Uses
You may use Service only for lawful purposes and in accordance with Terms. You agree not to use Service:
0.1. In any way that violates any applicable national or international law or regulation.
0.2. For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
0.3. To transmit, or procure the sending of, any advertising or promotional material, including any “junk mail”, “chain letter,” “spam,” or any other similar solicitation.
0.4. To impersonate or attempt to impersonate Company, a Company employee, another user, or any other person or entity.
0.5. In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.
0.6. To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of Service, or which, as determined by us, may harm or offend Company or users of Service or expose them to liability.
Additionally, you agree not to:
0.1. Use Service in any manner that could disable, overburden, damage, or impair Service or interfere with any other party’s use of Service, including their ability to engage in real time activities through Service.
0.2. Use any robot, spider, or other automatic device, process, or means to access Service for any purpose, including monitoring or copying any of the material on Service.
0.3. Use any manual process to monitor or copy any of the material on Service or for any other unauthorized purpose without our prior written consent.
0.4. Use any device, software, or routine that interferes with the proper working of Service.
0.5. Introduce any viruses, trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful.
0.6. Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of Service, the server on which Service is stored, or any server, computer, or database connected to Service.
0.7. Attack Service via a denial-of-service attack or a distributed denial-of-service attack.
0.8. Take any action that may damage or falsify Company rating.
0.9. Otherwise attempt to interfere with the proper working of Service.
14. Analytics
We may use third-party Service Providers to monitor and analyze the use of our Service.
15. No Use By Minors
Service is intended only for access and use by individuals at least eighteen (18) years old. By accessing or using Service, you warrant and represent that you are at least eighteen (18) years of age and with the full authority, right, and capacity to enter into this agreement and abide by all of the terms and conditions of Terms. If you are not at least eighteen (18) years old, you are prohibited from both the access and usage of Service.
16. Intellectual Property
Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of Nourish and its licensors. Service is protected by copyright, trademark, and other laws of and foreign countries. Our trademarks may not be used in connection with any product or service without the prior written consent of Nourish.
17. Copyright Policy
We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on Service infringes on the copyright or other intellectual property rights (“Infringement”) of any person or entity.
If you are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement, please submit your claim via email to nourishnewmama@gmail.com, with the subject line: “Copyright Infringement” and include in your claim a detailed description of the alleged Infringement as detailed below, under “DMCA Notice and Procedure for Copyright Infringement Claims”
You may be held accountable for damages (including costs and attorneys’ fees) for misrepresentation or bad-faith claims on the infringement of any Content found on and/or through Service on your copyright.
18. DMCA Notice and Procedure for Copyright Infringement Claims
You may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):

You may provide us either directly at nourishnewmama@gmail.com or via third party sites and tools with information and feedback concerning errors, suggestions for improvements, ideas, problems, complaints, and other matters related to our Service (“Feedback”). You acknowledge and agree that: (i) you shall not retain, acquire or assert any intellectual property right or other right, title or interest in or to the Feedback; (ii) Company may have development ideas similar to the Feedback; (iii) Feedback does not contain confidential information or proprietary information from you or any third party; and (iv) Company is not under any obligation of confidentiality with respect to the Feedback. In the event the transfer of the ownership to the Feedback is not possible due to applicable mandatory laws, you grant Company and its affiliates an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited and perpetual right to use (including copy, modify, create derivative works, publish, distribute and commercialize) Feedback in any manner and for any purpose.

Our Service may contain links to third party web sites or services that are not owned or controlled by Nourish.
Nourish has no control over, and assumes no responsibility for the content, privacy policies, or practices of any third party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

22. Limitation Of Liability

EXCEPT AS PROHIBITED BY LAW, IF THERE IS LIABILITY FOUND ON THE PART OF COMPANY, IT WILL BE LIMITED TO THE AMOUNT PAID FOR THE PRODUCTS AND/OR SERVICES, AND UNDER NO CIRCUMSTANCES WILL THERE BE CONSEQUENTIAL OR PUNITIVE DAMAGES. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE PRIOR LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
23. Termination
We may terminate or suspend your account and bar access to Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of Terms.
If you wish to terminate your account, you may simply discontinue using Service.
All provisions of Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
24. Governing Law
These Terms shall be governed and construed in accordance with the laws of Massachussetts, which governing law applies to agreement without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
